What belongs in a technical annex to a PVA yarn purchase contract?

Direct answer

Use the annex to connect the purchased construction to the approved sample, objective acceptance method, package identity, change-notification route, and nonconformance decision path. Keep delivery terms and technical acceptance distinct so a freight term cannot be mistaken for a product specification.

Use the annex to join product, test, and order identity

A technical annex should turn a buyer's approval into instructions the supplier can follow on a later shipment. It identifies the exact PVA yarn construction and revision, the approved reference sample, the buyer's acceptance method, and how each package will carry the lot identity. A catalogue description alone is too loose to settle which product a purchase order covers.

Keep commercial delivery terms in their own clause. The ICC Incoterms® rules allocate delivery tasks, costs, and risks between seller and buyer; they do not define the yarn grade, acceptance test, or what happens when a lot fails. The annex should make those technical decisions explicit alongside the contract's commercial terms.

Write the clauses a receiving team will need

A practical technical annex connects each requirement to evidence
ClauseWhat to stateEvidence on delivery
Product identityGrade, count system, construction, finish, and revisionMatching package label and specification.
AcceptanceMethod, preparation, endpoint, limit, and report formatLot-specific result or agreed incoming inspection.
PackagingPackage format, label fields, lot separation, and declared massCarton map and package identifiers.
ExceptionsNotice, hold, retest, concession, return, and approval routeNamed contact and written disposition.

Do not place an unsupported performance guarantee in the annex. If a result is conditional on a particular fabric, wash route, or machine setting, name those conditions and the test piece. For example, an approved woven sample does not automatically define acceptance for a different weave or a larger bath load.

Set document order and change control

State how the annex relates to the master agreement, purchase order, specification, drawing, and approved sample. If two records conflict, identify which document controls the technical requirement and who can approve a revision. A purchase order with one grade code and an old specification attached can otherwise leave warehouse and supplier staff working from different versions.

List changes that require notice before production or shipment: source material, process site, yarn construction, finish, package format, test method, or label design. Require the supplier to identify affected lots and provide evidence for review before the change enters the approved supply. Keep the previous version available for orders already in progress.

Separate test results from commercial disposition

The lab or inspection report provides evidence; the named buyer and supplier contacts make the release, concession, or rejection decision under the contract. Say whether the parties will use a joint specimen, a retained sample, or an independent lab when results disagree. Also define who pays for additional testing under each agreed outcome, rather than leaving that question to the moment a claim is open.

The site's PVA supplier evaluation guide helps buyers compare supplier evidence. The annex records the requirements selected for this particular order.

Review the annex with the people who use it

Before signing, ask procurement, quality, warehouse, and production to trace one hypothetical delivery through the annex. Can they identify the correct package, choose a sample, reproduce the test, place a hold, and reach the correct approver? If a step depends on an undefined term such as “clean removal” or “standard pack,” replace it with the agreed observation or drawing.

Keep the final annex attached to the purchase order and supplier acknowledgment. A new order should state the current revision directly, not rely on an email thread that may not travel with the shipment.
